This is an initial public offering of American depositary shares, or ADSs, of Missfresh Limited.

Upon the completion of this offering, our outstanding share capital will consist of Class A ordinary shares and Class B ordinary shares, and wewill be a “controlled company” as defined under Nasdaq Stock Market Rules because Mr. Zheng Xu, the chairman of our board of directors and ourchief executive officer, will beneficially own % of our total voting power assuming the underwriters do not exercise their over-allotment option,or % of our total voting power if the underwriters exercise their over-allotment option in full. As a “controlled company,” we are permitted toelect not to comply with certain corporate governance requirements. Holders of Class A ordinary shares and Class B ordinary shareshave the same rights except for voting and conversion rights. Each Class A ordinary share is entitled to twenty votes and is convertible into one Class Bordinary share, and each Class B ordinary share is entitled to one vote. Class B ordinary shares are not convertible into Class A ordinary shares underany circumstances.
